Terms of Service

These Terms of Service ("Terms") govern your use of the website at softronic.dev (the "Site") operated by Softronic ("we", "us"). By accessing or using the Site you agree to these Terms. If you don't agree, don't use the Site.
1. Services
Softronic provides nearshore software development services, including custom development, staff augmentation (Hiring as a Service), AI solutions, design systems, compliance consulting, and related advisory work. Specific deliverables, timelines, fees and warranties for each engagement are governed by a separate Master Services Agreement (MSA) and Statement of Work (SOW). Nothing on this Site constitutes a binding offer or contract.
2. Use of the Site
You may use the Site for lawful, personal or business purposes. You agree not to:
- Reverse engineer, scrape at scale, or replicate the Site for competing purposes.
- Submit false information through any contact form or scheduling tool.
- Attempt to gain unauthorized access, probe for vulnerabilities, or disrupt service.
- Use the Site to transmit malicious code or misleading content.
3. Intellectual property
The Site, including all text, graphics, logos, images, software, and design, is owned by Softronic or licensed to us, and is protected by intellectual property laws. The "Softronic" name and logo are our trademarks. You may not use them without prior written permission.
Content created in the course of paid engagements is governed by the IP-assignment clauses of the relevant MSA/SOW — typically full assignment to the client upon payment. The Site itself remains our property.
4. Pricing
Prices on the Site are indicative ranges, denominated in US dollars, and subject to confirmation in a written quote. Final fees are agreed in the SOW. Engagements are typically billed monthly in advance.
5. Disclaimers
The Site is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free. Information on the Site (including blog posts) is for general informational purposes and does not constitute professional, legal, or financial advice.
6. Limitation of liability
To the maximum extent permitted by law, Softronic and its founders, employees, contractors and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of the Site. Our aggregate liability for any direct damages from your use of the Site is limited to USD $100. Liability arising from paid engagements is governed by the MSA.
7. Third-party links
The Site may link to third-party websites (e.g. Calendly, GitHub, Instagram, LinkedIn). We are not responsible for the content, privacy practices, or availability of those sites.
8. Indemnity
You agree to indemnify and hold Softronic harmless from any claims, losses, damages, liabilities, costs and expenses arising out of your breach of these Terms or your misuse of the Site.
9. Termination
We may suspend or terminate your access to the Site at any time, without notice, for conduct that we reasonably believe violates these Terms or is harmful to other users, us, or third parties. Sections that by their nature should survive termination (IP, disclaimers, liability, indemnity, governing law) survive.
10. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms will be resolved by binding arbitration in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
11. Changes
We may update these Terms. The "Last updated" date at the top reflects the most recent change. Material changes will be highlighted on the homepage. Continued use after changes constitutes acceptance.
